These Terms of Service ("Terms") govern your access to and use of the Lazybooks accounting platform (the "Service") operated by Lazybooks ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

Lazybooks is a cloud-based bookkeeping and accounting platform that helps you manage your financial records, including journal entries, chart of accounts, bank activity tracking, invoicing, and financial reporting. The Service may include integrations with third-party providers such as Plaid (for bank account connections) and Stripe (for payment processing).

3. Not Professional Tax or Accounting Advice

The Service is provided on a best-effort basis as a bookkeeping tool. Lazybooks does not provide professional tax advice, certified accounting services, or financial consulting. The reports, calculations, and data generated by the Service are for informational purposes only and should not be relied upon as a substitute for advice from a qualified accountant, tax professional, or financial advisor. You are solely responsible for ensuring the accuracy of your financial records and compliance with applicable tax laws and regulations.

4. Account Registration

To use the Service, you must create an account and provide accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

5. Subscription and Payments

The Service may offer free tiers or trial periods with limited functionality. Free accounts may be subject to usage limits and may be suspended or terminated after prolonged inactivity.

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a recurring basis through Stripe. By subscribing, you authorize us to charge your payment method on file for the applicable fees. All fees are non-refundable unless otherwise stated or required by law.

We reserve the right to change our pricing with reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Invoicing and Payment Collection

The Service allows you to create invoices and collect payments from your customers through Stripe. You are solely responsible for the accuracy of your invoices, compliance with applicable invoicing and tax laws, and any disputes with your customers. Lazybooks acts only as a platform facilitator and is not a party to transactions between you and your customers.

7. Bank Account Connections

You may connect your bank accounts to the Service through our integration with Plaid. By connecting a bank account, you authorize Plaid to access your financial data on your behalf and share it with the Service. Your use of Plaid is subject to Plaid's terms and privacy policy.

8. Your Data

You retain ownership of all data you submit to the Service. By using the Service, you grant us a limited license to use, store, and process your data solely to provide and improve the Service. You may export or delete your data at any time, subject to our data retention obligations described in our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE THE ACCURACY OF ANY FINANCIAL CALCULATIONS, REPORTS, OR DATA GENERATED BY THE SERVICE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAZYBOOKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Lazybooks and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time for any reason, including if we reasonably believe you have violated these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, but provisions that by their nature should survive (such as limitations of liability and indemnification) will remain in effect.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

18. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith informal negotiation. If the dispute is not resolved within thirty (30) days, either party may initiate binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall take place in the State of Texas, and the arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

You agree that any arbitration or proceeding shall be conducted on an individual basis and not as a class action or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against Lazybooks.
